2. Scope
These Terms of Service apply to use of Nodl, a web-based AI-native voice-to-document platform through which users can record or upload audio, generate transcripts, and have structured documents created from those transcripts.
These Terms apply to consumers and business users unless a separate agreement has been concluded in individual cases. For enterprise, team, data processing, licence, or special agreements, additional or deviating conditions may apply.
Nodl is aimed at users in the DACH region as well as internationally at users who may lawfully use Nodl. Users are themselves responsible for ensuring that use of Nodl is permitted in their country, industry, and specific use case.
3. Service Description
Nodl enables in particular:
- browser-based audio recording and audio upload,
- live transcription preview during recording,
- subsequent batch transcription with speaker separation and timestamps,
- generation of structured documents from transcripts,
- display, copying, and download of results, in particular as Markdown,
- storage of recordings, transcripts, and documents in the user account,
- use of predefined output types such as meeting notes, task lists, or client summaries,
- use of a personal workspace with data-separated storage.
Nodl is not a pure speech-to-text app. The service combines audio recording, transcription, speaker separation, AI-assisted structuring, and document creation.
Team and workspace functions may be technically prepared or partially available. As long as they are not expressly offered as a publicly usable team product, there is no entitlement to specific team, role, admin, or collaboration functions.
Public CLI use is not currently part of the regular SaaS offering unless expressly released. Any source code, CLI, or developer licences are to be considered separately from these SaaS Terms.
4. Registration and User Account
Use of Nodl generally requires a user account. Users must provide correct and current information when registering and treat their access credentials confidentially.
Users may not share access credentials with other persons and are responsible for all activities occurring via their account to the extent they caused or enabled them. In case of suspected abuse, unauthorised access, or security incidents, the provider must be informed without undue delay.
Nodl is not aimed at children. Users must be legally capable under applicable law or use Nodl with effective consent of a legal representative. The provider may suspend or delete accounts if there are justified doubts about the permissibility of use.
5. Free Plan, Paid Plans, and Service Limits
Nodl may offer free and paid plans. The respective scope of services, prices, limits, and billing conditions are set out on the website, in the app, at checkout, or in an individual agreement.
The free plan may be limited in particular by:
- a limited number of recordings,
- a limited number of available output types,
- maximum recording duration per recording,
- limits on processing, storage, export, or prioritisation.
Under the current product status, the free trial may in particular be limited to 8 recordings, 5 output types, and 1 hour recording duration per recording. The provider may change free limits with effect for the future where objectively justified and users are not unreasonably disadvantaged.
Paid plans apply only if offered in the app, on the website, at checkout, or agreed individually. A feature marked as “coming soon”, “planned”, “beta”, or “preview” is not owed until expressly released.
6. Prices, Payment, and Billing
Prices, currency, billing periods, included services, and any value added tax are set out on the website, in the app, at checkout, or in an individual agreement.
Payments may be processed via Stripe or other specified payment service providers. Payment data is generally processed directly by the payment service provider. The provider does not store full credit card data unless expressly stated otherwise.
Subscriptions renew automatically for the respective stated term unless cancelled in time. Cancellation takes effect at the end of the current billing period unless the respective plan or law provides otherwise.
In case of payment default, chargebacks, or unsuccessful payment, the provider may restrict, suspend, or terminate access to paid functions.
7. Refunds, Withdrawal, and Consumer Rights
Statutory consumer rights remain unaffected.
Consumers with residence in the EU may generally have a statutory right of withdrawal for distance contracts. Where legally permissible, this right of withdrawal may expire prematurely for digital services or digital content if users expressly agree that performance begins before expiry of the withdrawal period and confirm that they may thereby lose their right of withdrawal.
Voluntary refunds may be granted according to the refund policy stated on the website or at checkout or at the provider’s discretion. Without an express refund commitment, there is no entitlement to pro-rata refund of already paid billing periods unless mandatory law provides otherwise.
Cancellations generally end paid services at the end of the current billing period. Access to free functions may continue thereafter where a free plan is available.
8. Permitted Use and User Obligations
Users may use Nodl for all lawful purposes. The following is in particular not permitted:
- use for unlawful purposes,
- uploading, recording, or processing content without required rights, consents, or legal bases,
- infringement of personality rights, copyright, trade secrets, or data protection rights of third parties,
- covert recording of conversations where impermissible under applicable law,
- use to create, disseminate, or support illegal content,
- malware, phishing, spam, credential harvesting, or other technical abuse,
- overload attacks, scraping, penetration tests without prior written consent, or circumvention of technical safeguards,
- reverse engineering of security-relevant components unless mandatorily permitted by law,
- unauthorised sharing of user accounts or access credentials,
- use of Nodl in a manner that jeopardises the security, integrity, or availability of the service.
Users are themselves responsible for lawfully informing all persons whose voices, statements, or personal data are processed and for obtaining required consents or other legal bases. This applies in particular to professional, employment law, medical, confidential, or cross-border contexts.
9. Storage of Content and Original Audio
Nodl stores recordings, transcripts, and documents according to the user’s or customer’s workspace settings. Users can save, export, or delete content. Depending on the plan, retention and deletion rules may be configurable.
Where users create a recording or upload audio, Nodl may store original audio unchanged in the user account or workspace — as a reference source for comparison with transcripts and documents, where the user or customer uses or configures this function. Nodl may additionally create technical copies, normalised audio files, waveforms, preview data, transcripts, or other derived files to enable transcription, playback, search, synchronisation, or document creation. These derived files do not alter the stored original audio.
Content is retained according to workspace settings and plan for as long as the account or workspace exists and the respective recording or document is not deleted by the user. Users may delete recordings and documents where the respective function is available. After deletion, content is removed according to the privacy policy and technical backup cycles unless statutory retention obligations, legitimate safeguarding interests, disputes, abuse cases, or other permissible reasons for longer retention exist.
The provider does not guarantee that content will be recognised in every proceeding, industry, or country, that it is legally sufficient, or that it meets specific industry documentation obligations. Users are themselves responsible for whether and how recordings may lawfully be created, retained, exported, submitted, or deleted.
10. AI Functions and Results
Nodl uses AI systems for transcription, speaker separation, structuring, and document creation. AI results may be incorrect, incomplete, misleading, inaccurate, distorted, or unsuitable for the specific purpose.
Live transcripts during a recording are only preliminary previews. Subsequent batch transcription is the authoritative technical processing but may also contain errors.
Generated documents, summaries, task lists, meeting notes, client summaries, or other outputs are AI-assisted work products. They do not replace human review. Users must review, correct, and professionally approve all results before using, sharing, publishing, archiving them, or using them as a basis for decisions.
Nodl does not provide legal, tax, financial, medical, therapeutic, security, HR, compliance, or other professional advice. AI results are not binding recommendations or decisions of the provider.
Customer data, audio, transcripts, prompts, and documents are not used to train the provider’s AI models. According to the technical and contractual settings communicated to users, the AI service providers used are also not authorised to use this data for model training; zero-data-retention or comparable data protection / non-training settings are intended where technically and contractually available.
11. Speaker Separation, Emotions, and Biometric Use
Nodl may use speaker separation or speaker diarisation to technically distinguish different speaker segments within a recording. This function serves readability, structuring, and traceability of the transcript.
Nodl is not intended to identify persons by their voice, create voiceprints, recognise persons across recordings, authenticate persons, or form biometric categories.
Nodl is not designed as an emotion recognition system. If users mention feelings, moods, or personal states in a recording, such content may appear in the audio, transcript, or document. However, the purpose of Nodl is not the detection, evaluation, or classification of emotions.
12. Healthcare, Regulated Professions, and Sensitive Use
Nodl does not generally prohibit use in healthcare. However, use in medical, therapeutic, care, legal, tax, financial, employment law, or other regulated contexts occurs solely at the responsibility of the respective user or customer.
Nodl is not a medical device, diagnostic system, therapy system, clinical decision support system, emergency system, or substitute for medical, therapeutic, legal, tax, or other professional review.
Healthcare providers and other holders of professional secrets are themselves responsible for:
- lawful recording and processing,
- information for patients, clients, employees, or conversation partners,
- consents or other legal bases,
- professional secrets and duties of confidentiality,
- industry-specific documentation obligations,
- review and approval of results,
- retention and deletion obligations,
- entering into a data processing agreement where required.
Users may not use Nodl for medical emergencies, automated diagnoses, therapy decisions, or situations in which incorrect transcription or AI output could directly lead to significant harm without appropriate human review and legal/professional safeguards.
13. Rights in User Content and Provider Usage Rights
Users retain their rights in uploaded or recorded content, transcripts, and generated documents to the extent such rights belong to them.
Users grant the provider the rights necessary to operate Nodl to technically store, transmit, process, back up, transcribe, convert, pass to service providers used, display, provide, export, and delete content. These rights are limited to the purpose of providing, securing, improving, troubleshooting, and lawfully administering Nodl.
The provider does not sell user content and does not use user content to train own or third-party AI models.
Users warrant that they have all required rights and legal bases to process content in Nodl and to grant the provider the required technical usage rights.
14. Data Protection and Data Processing
Information on processing personal data is provided in Nodl’s Privacy Policy. How Nodl uses artificial intelligence is described in the AI Transparency Statement.
Where users use Nodl as a business, organisation, healthcare provider, or other controller within the meaning of the GDPR and process personal data of third parties in Nodl, the provider may act as processor with respect to such content. In that case, a data processing agreement pursuant to Art. 28 GDPR must be entered into before or at latest upon commencement of processing where legally required.
Users remain responsible for the lawfulness of processing their content, in particular information obligations, consents, legal bases, data subject rights, deletion obligations, and industry-specific compliance.
15. Availability, Maintenance, and Changes to the Service
The provider operates Nodl according to the state of the art and endeavours to ensure secure, stable, and available operation. Uninterrupted or error-free availability is not guaranteed unless a service level agreement has been expressly agreed.
Nodl may be temporarily unavailable, in particular due to maintenance, updates, security measures, disruptions, force majeure, third-party outages, or abuse prevention. Planned maintenance will be announced where possible.
The provider may further develop Nodl, change, replace, add, or remove functions where this is reasonable for users, the core service is not unreasonably impaired, or objective reasons exist, in particular security, scaling, technical development, product improvement, abuse prevention, or legal requirements.
16. Third-Party Providers and External Services
Nodl may work with third-party providers, in particular for hosting, storage, database operation, AI processing, payment processing, email delivery, monitoring, analytics, security, and CDN.
Third-party providers may have their own terms and privacy information. Where users interact directly with third-party providers, e.g. payment via Stripe, their terms may additionally apply.
The provider is not responsible for independent third-party offerings, external links, or services not controlled by the provider.
17. Suspension and Termination by the Provider
The provider may temporarily or permanently suspend, restrict, or terminate accounts, workspaces, content, or access if:
- users violate these Terms,
- legal violations or abuse exist or are seriously feared,
- security risks exist,
- payments fail,
- third-party rights are infringed,
- legal or regulatory requirements require this,
- operation, security, or other users are jeopardised.
The provider takes user interests into account and chooses proportionate measures where possible. In serious or urgent cases, immediate suspension may occur.
18. Data Export and Deletion upon Contract End
Users should regularly export important content. Where export functions are available, users may download transcripts, documents, or other provided data.
After cancellation, account deletion, or expiry of a plan, access to content may be restricted or terminated. Data will be deleted or retained according to the privacy policy. Statutory retention obligations, legitimate safeguarding interests, security incidents, abuse cases, outstanding claims, or disputes may lead to longer retention.
Recordings, transcripts, and documents are stored according to workspace settings and plan until users delete the relevant content or the account or workspace is deleted, unless permissible reasons for longer retention exist.
19. Warranty
Statutory warranty rights apply to consumers.
Towards business users, the provider provides warranty according to statutory provisions unless validly agreed otherwise. The provider does not warrant that Nodl is suitable for a specific purpose not expressly agreed or meets specific professional, regulatory, evidential, or industry-specific requirements.
AI results are technically generated outputs and not guaranteed findings of fact. The provider does not warrant that transcripts, speaker labels, summaries, date interpretations, tasks, names, numbers, or other content are complete or error-free.
20. Liability
The provider is liable without limitation for intent, gross negligence, personal injury, and in cases of mandatory statutory liability.
For slight negligence, the provider is liable only for breach of essential contractual obligations and limited to foreseeable, typical damage to the extent permitted by law.
The provider is not liable for damage arising because users:
- use AI results without review,
- unlawfully record conversations or process content,
- fail to obtain required consents or legal bases,
- fail to observe industry-specific obligations,
- store access credentials insecurely,
- fail to export or back up content,
- use Nodl in high-risk, emergency, or regulated contexts without appropriate human review.
Mandatory consumer rights, GDPR rights, and other mandatory statutory liability remain unaffected.
21. Amendments to These Terms
The provider may amend these Terms with effect for the future where objective reasons exist, in particular changes to the service, new functions, legal requirements, security requirements, or economic changes.
Users will be informed appropriately of material changes. Consent will be obtained where legally required. If users continue to use Nodl after amended conditions take effect and were effectively notified of the change, the amended conditions may become part of the contract where legally permissible.
22. Applicable Law and Jurisdiction
Austrian law applies excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer law at the consumer’s place of residence provides otherwise.
For business users, the exclusive place of jurisdiction is, where permitted by law, Vienna, Austria.
Statutory places of jurisdiction apply to consumers.
23. Final Provisions
If individual provisions of these Terms are or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory rule.
These Terms apply in the language in which they are provided. Translations serve comprehension. In case of conflicts between language versions, the German version shall prevail where legally permissible, unless another version is expressly designated as binding.
